AUCyber Limited (formerly Sovereign Cloud Holdings Limited) reported its financial results for the half-year ended 31 December 2024 (1H FY25). The Group recorded a net loss of $19.5 million, which included a $14.7 million impairment loss relating to the write-down of goodwill and customer-related intangibles. Revenue for the period increased 196% to $12.3 million, with $9.1 million attributed to the acquired entities of PCG Cyber, Venn IT and Arado. The Group's underlying EBITDA, which excludes the impact of impairment losses, gains on reversal of deferred consideration, acquisition costs and equity-settled share-based payments, was $1.7 million. Expenses were not directly comparable to the prior period due to the additional cost base following the acquisitions.On 20 December 2024, the Group received an unconditional on-market takeover bid from 5G Networks Limited (ASX: 5GN) for 100% of the ordinary shares at 11 cents cash per share. This offer was subsequently increased to 13.5 cents cash per share, which the AUCyber board unanimously recommended that shareholders accept. As of 3 February 2025, 5G Networks Limited had gained over 50% control of AUCyber Limited.The Group's net asset position decreased by $19.1 million to $23.6 million as at 31 December 2024, primarily due to the trading losses and impairment. Cash on hand was $5 million at the end of the period.
