WiseTech Provides Update on Board Review
- Board Sub-Committee found Mr. White's conduct unacceptable and must not be repeated

WiseTech Global Limited provided an update on the Board Review into matters relating to its Co-Founder and current Executive Chair, Mr. Richard White, as well as Board composition. The Board appointed Herbert Smith Freehills and Seyfarth Shaw LLP to support and advise the Board on allegations. The Board Sub-Committee (comprising Mike Gregg, Charles Gibbon and Maree Isaacs) has indicated to Mr. White that a number of the matters are serious in nature, and that such conduct is not acceptable and must not be repeated. The Board Sub-Committee is undertaking a review of the Company's Code of Conduct to enhance the provisions regarding the disclosure and management of close personal relationships. The Company has strong governance arrangements in place, including 'safe to speak up' and whistleblower platforms. The Board's intention is to appoint an additional independent director as a matter of priority. Mr. White has accepted the findings of the Board Review and has committed to a new and more stringent Code of Conduct. The Board is considering measures to address feedback from shareholders and will provide further updates.
