NZME Announces Director Nominations and Proposals
- NZME withdraws director nominations and proposals from JTG 4 Limited
- Steven Joyce and James Grenon nominated as new directors
- Barbara Chapman to retire as Chairman, Sussan Turner to seek re-election
NZME Limited (NZX and ASX: NZM) has provided an update to shareholders regarding the Board's engagement with JTG 4 Limited (JTG) and other major shareholders on the director nominations and proposals to be considered at the upcoming Annual Shareholders' Meeting (ASM). NZME has been notified that JTG has withdrawn its director nominations for Philip Crump, Desmond Gittings, and Henri Eliot, as well as its proposals for the removal of the four existing directors. The only remaining director nominations are for Steven Joyce, nominated by Stephen Donoghue-Cox, and James Grenon, nominated by JTG. These nominations are fully supported by the Board. Barbara Chapman has advised that she will retire as a director and Chairman at the close of the ASM, and Sussan Turner has confirmed she will offer herself for re-election. Carol Campbell intends to remain as a director until a suitable independent director is identified to replace her on the Board and as chair of the Audit & Risk Committee. If the proposed changes are approved, the new Board would comprise Steven Joyce, Carol Campbell, Sussan Turner, Guy Horrocks, and James Grenon. It is expected that Steven Joyce would be appointed as Chairman, and Desmond Gittings and Philip Crump would be appointed to the OneRoof Advisory Board and an editorial board, respectively.
