Life360, Inc. ('Life360' or the 'Company') announced its intention to offer, subject to market and other conditions, $250 million aggregate principal amount of convertible senior notes due 2030 (the 'notes') in a private offering to qualified institutional buyers. The company also expects to grant the initial purchasers an option to purchase up to an additional $37.5 million aggregate principal amount of notes. The notes will be senior, unsecured obligations of Life360, will accrue interest payable semi-annually, and will mature on June 1, 2030, unless earlier repurchased, redeemed or converted. Noteholders will have the right to convert their notes in certain circumstances and during specified periods, with Life360 settling conversions in cash or a combination of cash and shares of its common stock. The notes will be redeemable, in whole or in part, for cash at Life360's option at any time on or after June 5, 2028 and on or before the 40th scheduled trading day immediately before the maturity date, subject to certain conditions. Life360 intends to use a portion of the net proceeds from the offering to fund the cost of entering into capped call transactions, which are expected to generally reduce the potential dilution to Life360's common stock upon any conversion of the notes and/or offset any potential cash payments Life360 is required to make in excess of the principal amount of converted notes.
