Spartan Resources Limited (ASX: SPR) has announced the dispatch of the transaction booklet in relation to the proposed acquisition by Ramelius Resources Limited (ASX: RMS) of all the issued shares of Spartan. The transaction can be implemented through a scheme of arrangement or a fall-back conditional off-market takeover offer, with the consideration being $0.25 cash and 0.6957 new Ramelius shares per Spartan share. The transaction booklet provides Spartan shareholders with important information about the transaction, including the Independent Expert's Report, the notice of Scheme meeting, and details on how to vote and accept the offers. The Spartan Board continues to unanimously recommend that Spartan shareholders support the transaction by voting in favor of the Scheme and accepting the Takeover Offer, subject to there being no Spartan superior proposal and the independent expert continuing to conclude that the Scheme is in the best interests of Spartan shareholders and the Takeover Offer is fair and reasonable. An indicative timetable for the transaction has been provided, with key dates including the Scheme meeting on 11 July 2025 and the implementation date of 31 July 2025 if the Scheme is approved, or the Takeover Offer period closing on 18 August 2025 if the Scheme fails or is terminated.
