BWP Trust Proposes Internalisation, Lease Reset and Capital Expenditure
- Internalisation of BWP's management functions by acquiring BWP Management Limited
- Restructuring of Bunnings Leases to extend terms and increase certainty of future rent
- Commitments to expand and upgrade Bunnings stores within the BWP property portfolio
BWP Trust has announced a proposal to internalise its management functions, reset and extend the terms of Bunnings leases within its property portfolio, and commit to store expansion and network upgrade capital expenditure. The proposal, referred to as the 'Proposed Transaction', comprises three key components:

Internalisation of the management functions of BWP by acquiring BWP Management Limited, the responsible entity of the BWP Trust, for $142.6 million. This will remove the management fee payable to Wesfarmers and internalise BWP's operating expenses.

Restructuring the terms of 62 Bunnings leases, extending the lease terms to increase the portfolio weighted average lease expiry (WALE) from 4.4 years to 8.0 years, and the Bunnings WALE from 4.6 years to 9.5 years. This is expected to result in a valuation uplift of $49.9 million.

Committing to $56 million in store expansion capital expenditure and $30 million in network upgrade capital expenditure at select Bunnings sites within the BWP portfolio, securing further growth opportunities and extending the useful life of older assets.
The BWP Board unanimously recommends the Proposed Transaction to investors, citing the benefits of tenant retention, income certainty, longer lease terms, expected valuation uplift, lower operating costs, and distribution accretion.
Following implementation of the Proposed Transaction, BWP's FY2026 distribution is forecast to be 19.15 cents per BWP Trust Unit, reflecting 2.0% growth on FY2025.
The Proposed Transaction will secure Bunnings as BWP's largest tenant for an extended lease term, providing increased income certainty and portfolio quality. The internalisation of management functions and capital expenditure commitments are expected to enhance BWP's competitiveness and growth prospects.
