Southern Cross Media Group Limited (ASX: SXL) (SCA) has advised that on Friday, it received a notice under section 203D of the Corporations Act from Sandon Capital Pty Ltd (Sandon), acting on behalf of its investors. The notice was executed by the registered holders of more than 5% of SCA's ordinary shares -- One Fund Services Limited and One Managed Investment Funds Limited -- and state their intention to move a resolution at the next general meeting to remove any director appointed by the board of directors between 9 May 2025 and the start of the next general meeting. This notice is in addition to the section 203D notices received by SCA from Sandon on 9 May 2025 and disclosed to the market on 12 May 2025. The resolutions will be put to the next general meeting held by SCA more than 2 months after receipt of the notices which is currently expected to be SCA's AGM which will be held before 30 November 2025. However, the additional notice will not have any impact on the resolutions to be considered at the AGM noting that any director appointed to fill a casual vacancy is already required to stand for election at the AGM. SCA has not received any notice requiring it to call a general meeting to consider such resolutions, nor has it received notice of any proposed directors to the SCA Board. The Takeovers Panel recently decided against the request by Sandon Capital to amend its orders to allow ARN to be free to vote all of its shareholding at the SCA AGM which means that ARN will be restricted in voting as per the SCA announcement made on 2 July 2025.
