Spartan Resources Limited (ASX: SPR) announced the results of the Scheme Meeting held earlier today, where the resolution to approve the Scheme of Arrangement with Ramelius Resources Limited (ASX: RMS) was passed by the requisite majorities of Spartan shareholders. 90.3% of eligible Spartan shareholders present and voting, either in person, online or by proxy, attorney or corporate representative, voted in favor of the Scheme Resolution. Additionally, 96.3% of the votes cast by eligible Spartan shareholders on the Scheme Resolution were in favor. Spartan has now applied to the Supreme Court of Western Australia for approval of the Scheme at a hearing scheduled for 10.00am AWST on Monday, 21 July 2025. If the Court approves the Scheme, Spartan intends to lodge an office copy of the Court orders with the Australian Securities and Investments Commission on Tuesday, 22 July 2025, at which time the Scheme will become effective. If the Scheme becomes effective, implementation of the Scheme is expected to occur on Thursday, 31 July 2025, and Spartan shareholders registered on the Spartan share register on the Scheme Record Date (being 5.00pm AWST on Thursday, 24 July 2025) will be entitled to receive the Scheme consideration of $0.25 cash and 0.6957 new Ramelius shares per Spartan share.
