Imugene Ltd is offering an opportunity to invest or increase investment through a Placement to raise approximately $22.5 million and a Share Purchase Plan (SPP) to raise approximately $15 million, together raising gross funds of up to approximately $37.5 million. Under the Placement Offer, institutional and sophisticated investors can subscribe for approximately 68.2 million new fully paid ordinary shares at an issue price of $0.33 per share. The SPP Offer allows eligible shareholders to acquire approximately 45.5 million new shares at the same offer price of $0.33. In addition, Placement subscribers and eligible shareholders will receive three free Attaching Options for every four new shares subscribed, with an exercise price of $0.43 and expiry date of 30 March 2026. They will also receive one free Piggyback Option for every Attaching Option exercised, with an exercise price of $0.86 and expiry date of 30 June 2028. The Company intends to seek quotation of the Attaching Options and Piggyback Options on the ASX. The SPP and New Options will be subject to shareholder approval at an extraordinary general meeting.
