Spartan Resources Limited (ASX: SPR) has announced that its proposed acquisition by Ramelius Resources Limited (ASX: RMS) by way of a scheme of arrangement (Scheme) has become legally effective. Spartan has lodged an office copy of the orders made by the Supreme Court of Western Australia approving the Scheme with the Australian Securities and Investments Commission (ASIC). The Scheme is now effective, and Spartan shares are expected to be suspended from trading on the ASX from the close of trading today, Tuesday, 22 July 2025. Eligible Spartan shareholders recorded in the share register as at 5:00 pm AWST on Thursday, 24 July 2025 (Scheme Record Date) will be entitled to receive $0.25 cash and 0.6957 new Ramelius shares per Spartan share held at the Scheme Record Date (Scheme Consideration) in accordance with the terms of the Scheme. Unmarketable parcel shareholders who have not provided an opt-in notice and ineligible foreign shareholders will not receive new Ramelius shares as part of the Scheme Consideration. Instead, the new Ramelius shares to which they would have been entitled will be issued to a sale agent appointed by Ramelius for sale, and the net proceeds will be paid to these shareholders. The Scheme is expected to be implemented, and the Scheme Consideration provided to eligible Spartan shareholders, on Thursday, 31 July 2025.
