Ramelius completes acquisition of Spartan Resources

Ramelius Resources Limited (ASX: RMS) has successfully completed the acquisition of Spartan Resources Limited (ASX: SPR) by way of a scheme of arrangement. All Spartan Shares have now been transferred to Ramelius, and eligible Scheme Shareholders have been issued the Scheme Consideration of 0.6957 New Ramelius Shares and $0.25 for each Spartan Share held on the Scheme Record Date. The New Ramelius Shares are expected to commence trading on the ASX on a normal settlement basis on 1 August 2025. Spartan will apply for its removal from the official list of the ASX and termination of the official quotation of its shares, which is expected to take effect from close of trading on 1 August 2025. The merged group will see several changes to the board and executive management, with Simon Lawson and Deanna Carpenter joining the Ramelius Board, and Mark Zeptner and Robert Vassie joining the Spartan Board. Ramelius' Managing Director, Mark Zeptner, stated that the acquisition will be a transformational combination, bringing together a highly regarded producer with a successful explorer, as the company embarks on its vision of becoming a 500,000 ounce producer within 5 years.
