Adriatic Metals Plc ('Adriatic') has announced that the Condition to the proposed acquisition of Adriatic by Dundee Precious Metals Inc. ('Dundee') with respect to receiving the approval of the Acquisition by the Competition Council of Bosnia and Herzegovina has now been satisfied. The acquisition, intended to be effected by means of a Court-sanctioned scheme of arrangement, remains subject to the approval of the Scheme by Adriatic shareholders at the Court Meeting, the passing of the Special Resolution by Adriatic shareholders at the General Meeting, and the passing of the DPM Shareholder Resolution at the DPM Special Meeting, all of which are scheduled for 13 August 2025. The acquisition is also subject to the Court sanctioning the Scheme at the Court Sanction Hearing and the satisfaction (or, where applicable, waiver) of the remaining Conditions set out in the Scheme Document. The announcement includes a detailed timetable of the principal events for the implementation of the Scheme.
