Rhythm Biosciences Ltd (ASX: RHY) has announced a placement of up to 41,654,465 new shares at $0.09 per share to raise up to $3.75 million, including 3,333,332 new shares to be issued to director placement participants. The company is also offering, subject to shareholder approval, up to 38,321,133 new options to placement investors and up to 3,333,332 new options to director placement participants, on the basis of 1 option for every 1 new share subscribed for under the placement. The new options will be exercisable at $0.20 each and will expire on 30 November 2027. Additionally, the company is offering up to 10,800,000 new options to the lead manager (or its nominees) for $0.00001 per option as partial consideration for its capital raising and corporate advisory services in relation to the placement. The proposed issue of the new options is subject to prior shareholder approval under ASX Listing Rule 7.1.
