Silk Logistics Holdings Limited (ASX:SLH) has announced the successful implementation of a Scheme of Arrangement between the company and its shareholders, which was approved by the Requisite Majorities of Silk Shareholders on 1 August 2025 and the Supreme Court of New South Wales on 6 August 2025. The Scheme has resulted in the acquisition of 100% of the shares in Silk Logistics by DP World Australia Limited. Silk Shareholders recorded on the Silk Share Register as of 7.00pm (Sydney time) on Monday, 11 August 2025 have been sent A$2.14 for each Silk Share held at that time. The announcement also includes details of changes to the Silk Board of Directors and Company Secretary, with Terry Andrew Sinclair, Brendan Boyd, Cheryl Loretta Hayman, Louise Thurgood-Phillips and Stephen Fletcher Moulton resigning as directors, and Peter James Conomos, Nicolaj Noes and Jason Varsamidis being appointed as new directors. Melanie Leydin has resigned as company secretary, and Amelia Mitchell has been appointed as the new company secretary. Additionally, Silk Logistics has announced that it will apply for its removal from quotation on the official list of the ASX with effect from close of trading on Tuesday, 19 August 2025.
