Full Summary

Centaurus Metals Ltd (ASX: CTM, OTCQX: CTTZF) is pleased to announce the opening of its Share Purchase Plan (SPP) to raise up to approximately $3 million. The SPP forms part of a wider $23 million capital raising initiative, which includes a $20 million institutional placement. The SPP allows eligible existing Centaurus shareholders to subscribe for up to $30,000 worth of new fully paid ordinary shares in the company without incurring brokerage, commission or transaction costs. The placement price of $0.36 per share represents an 11.8% discount to the 15-day volume weighted average price. The combined proceeds from the placement, SPP, and Centaurus' existing $9 million cash will ensure the company is well-funded to advance the development of the Jaguar Nickel Sulphide Project in northern Brazil, progress strategic partnering and off-take discussions, undertake further exploration at the Boi Novo Copper Project, and meet general working capital requirements. Eligible shareholders with a registered address in Australia or New Zealand as of 13 August 2025 can participate in the SPP. For every two SPP shares subscribed, participants will also receive one free attaching option exercisable at $0.50 with an expiry date of 30 November 2027.

Outlook

The next 6-12 months is expected to be a transformational period for Centaurus as the company progresses the Jaguar Nickel Project through strategic partnering, financing and towards a Final Investment Decision. Centaurus is also excited to continue advancing the Boi Novo Copper Project, which is shaping up as a valuable addition to the company's portfolio.
