archTIS is acquiring Spirion, a global leader in sensitive data discovery, classification and remediation, for up to A$15.7M. Spirion has a blue-chip enterprise customer base predominantly in the US across a broad array of industries including financial services, healthcare, and education. The acquisition will bring several strategic and financial benefits, including a comprehensive end-to-end solution across the core components of data-centric security (discover, classify, enforce and govern), a diversified customer base across enterprise and government sectors, accelerated US market penetration leveraging regulatory-driven demand and diversified end-market exposure, and materially increased scale with a combined pro-forma FY25 ARR of A$21.8M. archTIS will fund the acquisition through an approximately A$20.5M equity capital raising comprising a A$3.5M placement and a A$17.0M underwritten 1-for-3 accelerated non-renounceable entitlement offer. The acquisition is expected to drive material revenue and cost synergies through cross-sell and up-sell opportunities, as well as rationalisation of headcount and marketing spend.
The combined pro-forma FY25 ARR is A$21.8M.
The acquisition is expected to accelerate archTIS's organic growth through opportunities in the US Department of Defense to drive adoption across the broader US defense network and additional US civilian agencies. The combined entity will provide a differentiated end-to-end data security platform with global reach, combining discovery, classification, and policy-based enforcement capabilities. This will create significant cross-sell and up-sell opportunities across commercial and government sectors, while also realizing meaningful operating synergies.
