MA Financial Group Limited (ASX: MAF) has announced the completion of its acquisition of IP Generation Pty Ltd and its subsidiaries. The fixed consideration for the acquisition included the issue of approximately 11.4 million MAF shares, inclusive of standard completion adjustments for net debt and working capital. Additionally, a deferred component of approximately $10.4 million, payable 50% in cash and 50% in MAF shares, will be paid in 12 months' time. The company also stated that additional earnout consideration may be payable subject to meeting future performance milestones aligned for growth. The consideration shares issued will be subject to escrow, generally on a long-term basis for up to five years, with the exception of 21% of the fixed consideration shares, which will have a short-term escrow period of 90 days from the date of completion.
