Scheme of Arrangement becomes effective

Adriatic Metals Plc and Dundee Precious Metals Inc. (DPM) have announced that the Scheme of Arrangement for the acquisition of Adriatic by DPM has now become effective. The Scheme was approved by the requisite majority of Adriatic shareholders and sanctioned by the High Court of Justice in England and Wales. As a result, Adriatic's entire issued share capital is now owned by DPM, and Adriatic will be re-registered as a private limited company. DPM has also been granted approval for admission to the Official List of the ASX as an ASX Foreign Exempt Listing, with DPM CDIs expected to commence trading on the ASX on 17 September 2025. The announcement also provides details on the settlement of the cash and share consideration to Adriatic shareholders, as well as changes to the Adriatic Board of Directors.
