• SOL and BKW shareholders voted in favor of the proposed combination

Washington H. Soul Pattinson and Company Limited ('Soul Patts' or 'SOL') and Brickworks Limited ('Brickworks' or 'BKW') announced that at their respective Share Scheme Meetings held on 10 September 2025, SOL and BKW shareholders voted in favor of the proposed combination of the two companies. The SOL Share Scheme Resolution was passed with 96.84% of SOL shareholders present and voting in favor, and 92.42% of the total votes cast in favor. The BKW Share Scheme Resolution was passed with 97.40% of BKW shareholders present and voting in favor, and 98.81% of the total votes cast in favor. The Share Schemes remain subject to the approval of the Court at the respective hearings scheduled for 9:15am (Sydney time) on 12 September 2025. If the outstanding conditions precedent are satisfied or waived and the Court approves the Share Schemes, SOL and BKW propose to lodge the respective Court orders with ASIC on 15 September 2025, at which time the Share Schemes will become legally effective. Following this, SOL and BKW shares will be suspended from trading on the ASX, and Topco shares will commence trading on a deferred settlement basis from 16 September 2025 and on a normal settlement basis from 24 September 2025.
