Washington H. Soul Pattinson and Company Limited ('Soul Patts') and Brickworks Limited ('Brickworks') are pleased to announce that shareholders of both companies have voted in favor of the proposed combination. At the respective Share Scheme Meetings, over 96% of shareholders present and voting were in favor of the Share Scheme Resolutions. Similarly, the resolutions at the General Meetings to approve the grant of long-term incentives to the proposed Managing Director and CEO of the combined entity were also passed. The companies now await the approval of the Court at the scheduled Second Court Hearings on 12 September 2025. If the outstanding conditions precedent are satisfied or waived, and the Court approves the Share Schemes, the combination is expected to be implemented in mid-September 2025, with Soul Patts and Brickworks shares being suspended from trading and the shares of the combined entity, Topco, commencing trading.
