Beam Communications Holdings Limited (ASX: BCC) has issued a notice of dispute to Roadpost Inc. under the Settlement Agreement in connection with Zoleo Inc. that was first announced to the ASX on 13 May 2025. Beam has taken this action in response to Roadpost's failure to execute documentation reasonably requested by Beam to formalise the transfer of unencumbered legal title to the Device Technology to Zoleo Inc. Roadpost has also proposed a number of terms in the documentation that Beam considers to be commercially unreasonable and not in line with market practice, particularly in relation to warranties and indemnities. Accepting these terms introduces a level of risk that the Board does not consider to be in the best interests of the Company or its shareholders. Under the Settlement Agreement, the parties are now required to use reasonable efforts to resolve this dispute in good faith up until 27 September 2025 (Toronto time) ('Resolution Period'), with a view to securing an amicable resolution of the dispute without further proceedings. If the dispute cannot be resolved before the end of the Resolution Period, then either party may refer this dispute to arbitration.
