Beam Communications Holdings Limited (ASX: BCC) has issued a notice of arbitration to Roadpost Inc. ('Roadpost') after Roadpost failed to pay the first instalment on the purchase price of Beam's 50% share in the Zoleo Inc. joint venture ('JV') by the prescribed deadline under the JV Agreement of 19 September 2025 (AEST). Beam, acting in good faith, tendered all necessary deliverables under the JV Agreement to enable the transaction to close. However, Roadpost did not accept the tendered documents and did not tender the first payment instalment for Beam's shares in Zoleo Inc. Beam considers Roadpost's failure to do so to be contrary to the requirements imposed on Roadpost under the JV Agreement. Accordingly, Beam has served notice on Roadpost to arbitrate this dispute and is seeking a declaration that Roadpost is in breach of the JV Agreement, and a further declaration that Beam is entitled to have the whole amount of the purchase price for Beam's shares in Zoleo Inc. immediately payable. Beam considers the scope of this dispute to be narrower than the disputes referred to arbitration in 2023-2024. Accordingly, Beam expects this arbitration dispute will be conducted on a more expedited timetable and will provide more details at the appropriate juncture. Finally, it should be noted that Beam's delivery of the notice of arbitration does not affect the parties' joint obligations under the separate Settlement Agreement announced on 13 May 2025.
