Warriedar Resources Limited (ASX: WA8) has provided an update on the proposed acquisition of 100% of its shares and listed options by Capricorn Metals Ltd (ASX: CMM) via a court-approved scheme of arrangement. The Supreme Court of Western Australia has made orders directing Warriedar to convene shareholder and optionholder meetings to consider and vote on the share scheme and option scheme. The Court has also approved the dispatch of the Scheme Booklet to Warriedar securityholders. The Scheme Booklet, which has been registered with ASIC, will be made available on Warriedar's website and dispatched to securityholders on or around 3 October 2025. The Independent Expert has concluded that the share scheme and option scheme are fair and reasonable and in the best interests of Warriedar shareholders and optionholders, in the absence of a superior proposal. The Warriedar Board unanimously recommends that securityholders vote in favour of the relevant scheme, subject to the Independent Expert's conclusion and in the absence of a superior proposal.
Based on Capricorn's closing price of A$12.34 per share on 24 September 2025, the share scheme consideration of one new Capricorn share for every 62 Warriedar shares held implies a value of ~$0.199 per Warriedar share, at the high point of the Independent Expert's valuation range.
