Johns Lyng Group Limited (ASX:JLG) has announced a notice of hearing to approve the proposed scheme of arrangement under which Sherwood BidCo Pty Ltd ACN 688 491 223 (Bidder) will acquire 100% of the issued shares in JLG. The Supreme Court of New South Wales has made orders for JLG to convene two shareholder meetings on 8 October 2025 - a general meeting for all JLG shareholders excluding certain employees/managers, and a separate meeting for those employee/manager shareholders. Shareholders will consider and vote on the resolutions to approve the scheme. Subject to shareholder approval, the court hearing to approve the scheme is scheduled for 13 October 2025. Any JLG shareholder has the right to appear and be heard at the court hearing, and may oppose the approval of the scheme by filing a notice of appearance and affidavit with the court at least 1 day prior to the hearing.
