ASX has written to Develop Global Ltd (DVP) regarding an apparent breach of Listing Rule 14.4. According to ASX, DVP's disclosures indicate that it appointed a new non-executive director, Duncan Bradford, on 29 October 2025, but the company's Annual General Meeting held on 10 November 2025 did not include a resolution for shareholders to vote on Mr Bradford's appointment. ASX states that under Listing Rule 14.4, a director appointed as an addition to the board must be elected by shareholders at the next annual general meeting. ASX has directed DVP to prepare an announcement explaining the circumstances leading to the apparent non-compliance, whether DVP considers Mr Bradford should remain as a director, why the AGM did not include a resolution for his appointment, the steps DVP will take to comply with Listing Rule 14.4, and the timeframe for completing those steps. ASX has also requested DVP to make a further announcement once it has complied with Listing Rule 14.4.
