IMDEX to acquire ALT and Mount Sopris Instruments

IMDEX Limited (ASX:IMD) has entered into binding agreements to acquire 100% of Advanced Logic Technology S.A. (ALT) and its subsidiary, Mount Sopris Instruments Inc (MSI), for a combined upfront consideration of €55.8 million (~A$98.9 million). ALT is the global leader in high-performance downhole rock property sensor systems and geoscience data processing software, while MSI is a leading developer of downhole rock property sensors, deployment and telemetry systems. The acquisition will broaden IMDEX's sensor and digital portfolios, integrate industry-standard WellCAD software with IMDEX's digital solutions, and substantially increase the volume of orebody knowledge obtainable for customers. It will also expand IMDEX's offerings in adjacent earth systems markets. The transaction is expected to be EPS accretive in the first full fiscal year of ownership, with indicative FY26 financial impacts including ~A$10 million in incremental revenue and ~A$2 million in normalised EBITDA.
The acquisition is expected to contribute ~A$10 million in incremental revenue and ~A$2 million in normalised EBITDA in FY26.
The combination of IMDEX, ALT and MSI's technology, engineering capabilities, geoscience capabilities and global networks is expected to substantially extend IMDEX's customer offering and market reach, supporting its strategy to provide a unified, open platform for earth systems data.
