Locate Technologies Limited (ASX: LOC) ('Locate Technologies' or the 'Company') is pleased to announce that the Supreme Court of New South Wales ('Court') has today made orders approving the proposed scheme of arrangement, under Part 5.1 of the Corporations Act 2001 (Cth) ('Scheme'), between Locate Technologies and its shareholders. Under the Scheme, a recently listed New Zealand company, Locate Technologies Limited (NZX: LOC) ('Locate NZ') will become the new holding company of the Locate Technologies group. Locate Technologies intends to lodge a copy of the Court's orders with ASIC tomorrow, 11 December 2025, at which time the Scheme will become legally effective. If this occurs, Locate Technologies Shares will be suspended from trading on the ASX with effect from the close of trading on 11 December 2025. The remaining key dates expected for the Scheme include the Record Date for determining entitlements to the Scrip Consideration on 15 December 2025, the Implementation Date for the Scheme on 16 December 2025, and the delisting of Locate Technologies from the official list of ASX on 17 December 2025. The first day of quotation of the Locate NZ Shares issued as the Scrip Consideration on NZX is expected to commence promptly following the Implementation Date.
