Full Summary

Robex Resources Inc. ('Robex') and Predictive Discovery Limited ('Predictive') have entered into an amending agreement to revise the terms of their previously announced arrangement agreement. Under the amended agreement, holders of Robex shares will now receive 7.862 fully paid ordinary shares in Predictive for each Robex share held. This results in Robex shareholders owning approximately 46.5% of the combined company on a fully diluted in-the-money basis. The amended terms were agreed following Predictive's receipt of a competing superior proposal. The board of Robex has unanimously determined that the amended arrangement is in the best interests of the company and fair to Robex shareholders. Major Robex shareholders, directors and officers, representing around 23.8% of outstanding Robex shares, have entered into amended voting agreements to support the transaction. The special meeting of Robex shareholders to consider the arrangement has been postponed to December 30, 2025, with the deadline to deposit proxies revised to December 29, 2025. The merger is expected to create one of West Africa's leading gold producers, combining Robex's Kiniero project and Predictive's Bankan project, with projected production of over 400,000 ounces annually by 2029 and combined resources of around 9.5 million ounces of gold. The transaction is anticipated to be accretive to shareholders of the combined company over the medium term.

Outlook

The merger is expected to create one of West Africa's leading gold producers, with significant growth potential from the combined Kiniero and Bankan projects.
