Scheme becomes Effective for LOC.ASX

Locate Technologies Limited (ASX: LOC) ('Locate Technologies' or the 'Company') has announced that it has today lodged with the Australian Securities and Investments Commission ('ASIC') a copy of the orders of the Supreme Court of New South Wales ('Court') approving the scheme of arrangement between Locate Technologies and its shareholders. As a result, the Scheme is now legally effective, and Locate NZ will become the new parent entity of the Locate Technologies group. Locate Technologies Shares will be suspended from trading on the ASX with effect from the close of trading today, 11 December 2025. Locate Technologies has received a non-binding draft class ruling from the Australian Taxation Office ('ATO') regarding CGT scrip-for-scrip roll-over relief for eligible Australian resident Shareholders. The final class ruling is not expected to be issued by the ATO until after the Implementation Date (which is expected to be 16 December 2025). The remaining key dates expected for the Scheme are: Last date of trading of Shares on ASX - Close of trading today, 11 December 2025; Record Date for determining entitlements to the Scrip Consideration - 7.00pm (Sydney Time) on Monday, 15 December 2025; Implementation Date for the Scheme - Tuesday, 16 December 2025; and Delisting of Locate Technologies from the official list of ASX - Wednesday, 17 December 2025.
