Full Summary

SKS Technologies Group Limited (ASX: SKS) has executed a formal sale agreement for the acquisition of the business and assets of Delta Elcom, as announced on 18 November 2025. The settlement is expected to be on 12 January 2026. SKS Technologies Chief Executive Officer, Matthew Jinks, said that the acquisition of Delta Elcom is the next logical step for the company as a means of accelerating its plans for greater market share in the NSW data centre space as well as work in its traditional market sectors. With annual revenue of approximately $25 million, Delta Elcom's specialist electrical and communications expertise and track record are an excellent overlay of those of SKS's business. The combined businesses, with similar cultures and operational approaches, will drive faster growth and a larger market presence to more aptly optimise the prospects across all NSW market sectors. The consideration for the acquisition, which includes a completion payment of $11.75 million, the issue of $2 million of fully-paid, ordinary SKS Technologies shares on completion, and an earnout payment capped at $1.25 million relating to the 2026 calendar year, is between $13.75 million and $15 million, depending on earnout level. The acquisition of Delta Elcom marks the next stage of SKS Technologies' growth as it pursues valuable markets in NSW. With strong earnings and operational cash flows, no long-term debt, ever-expanding work on hand levels, and a 94% repeat business metric, SKS Technologies is well-equipped to capitalise on the many opportunities emerging from electrical technologies and digital infrastructure across the country.
