Findi Ltd has issued a Second Supplementary Prospectus to amend the Prospectus dated 12 February 2026, as supplemented by the Supplementary Prospectus dated 27 February 2026. The key changes include:- Extending the Closing Date of the Offer to Thursday, 19 March 2026 and updating the indicative timetable.- Providing details of a $25 million placement to institutional and sophisticated investors, including the issue of Tranche 1 and Tranche 2 Placement Shares.- Updating the company's share capital structure to reflect the Placement and other share issuances.- Updating the pro forma financial information to reflect the Placement and the acquisition of Sphere.- Providing details of Taurus Capital's engagement as the lead manager for the Placement, including the issue of options.- Confirming the Company's decision not to proceed with the previously announced Nova Global Investment, but remaining in communication with Nova Global for potential future transactions.
