The cancellation has been effected by mutual agreement between the parties, with no break fees or costs incurred by ARC. The decision reflects changes in the composition of the Company's Board and shareholder base since the original transaction was announced. Following a review, the current Board determined that proceeding with the Assignment was no longer aligned with the Company's strategic direction.
