ARC Funds Limited (ASX:ARC) has entered into an agreement to acquire a 25% minority, passive equity interest in Ausbiz Group Pty Ltd. Under the terms of the agreement, ARC will acquire 25% of the issued share capital of Ausbiz Group Pty Ltd from the existing shareholders. The issue price of $0.125 per share represents a premium to ARC's recent trading price and is consistent with recent capital raising activity. The consideration shares will rank equally with ARC's existing ordinary shares and will be issued to the existing Ausbiz shareholders in proportion to their current shareholdings, subject to shareholder approval. ARC confirms that it will not control Ausbiz following completion and will not have the ability to direct the financial or operating policies of Ausbiz, which will continue to operate independently. The transaction is consistent with ARC's existing activities of making selective investments in financial services and related businesses and has been assessed and entered into independently, not conditional on or linked to any other transaction.
