Bowen Coking Coal Ltd (BCC) and several of its related entities are currently under a Deed of Company Arrangement (DOCA) after the appointment of voluntary administrators in July 2025. The creditors of BCC and its related entities have voted in favor of the DOCA proposed by Argo Bowen 2 Pty Ltd (Argo). As a condition of the DOCA, the Deed Administrators are required to obtain a court order under Section 444GA of the Corporations Act to transfer 100% of the shares in BCC (including all vested and unvested share options, warrants, performance rights or other instruments convertible into securities) to Argo for no consideration. The Deed Administrators have applied to the Supreme Court of New South Wales for this order, stating that the shares are of no value. An explanatory statement, the application, procedural orders, and supporting evidence, including an independent expert's report, are available on the Deed Administrators' website. Shareholders and creditors of BCC are entitled to be heard in relation to the application, and those wishing to do so must enter an appearance by 16 April 2026. The final hearing to determine whether the court will grant the Section 444GA order is listed for 23 April 2026.
