Predictive Discovery Limited (PDI) and Robex Resources Inc. (Robex) are pleased to announce that all conditions precedent to the proposed merger (the 'Transaction') have been satisfied or waived (as applicable). The Transaction is now unconditional and proceeding to completion and implementation ('Implementation'), with the effective date expected to occur on or around 15 April 2026 ('Effective Date'). The merger will create a leading West African gold company with a strengthened portfolio of high-quality assets, targeting production of more than 400,000 ounces of gold per annum by 2029. The combination brings together a world-class mine-building and operations team with the tier-one Bankan Project, as well as financing synergies and balance sheet strength to support the development of the Bankan Project without the requirement of raising additional equity or project finance debt. PDI has also been conditionally approved for listing on the Toronto Stock Exchange following Implementation. The Board and Management of the combined company will comprise a mix of directors and executives from both PDI and Robex.

The combined company is targeting production of more than 400,000 ounces of gold per annum by 2029, based on the Bankan Project's estimated production of 272,000 ounces and the Kiniero Project's estimated production of 155,000 ounces.
