Holista Colltech Limited (ASX: HCT) has advised that on 7 April 2026, the Supreme Court of Western Australia granted summary judgment in favour of The ProImmune Company, LLC (ProImmune) against the Company. The proceedings arose from a judgement entered on 23 January 2024 by the US District Court for the Southern District of New York in ProImmune's favour of US$2,063,141.05, following findings that the Company breached minimum performance requirements under distribution agreements for its Immune Formulation 200® product. The US judgement was affirmed on appeal by the United States Court of Appeals for the Second Circuit on 20 February 2025. ProImmune subsequently commenced proceedings in the Supreme Court of Western Australia seeking to enforce the US judgement and applied for summary judgement. The Court rejected the Company's defence and granted summary judgement. The total judgement debt of US$2,063,141.05 comprises damages, pre-judgement interest, and attorney's fees. Following the judgement, the Board has resolved to accept a negotiated settlement with ProImmune to fully and finally resolve the judgement debt and all related claims. The key terms of the settlement are: a total settlement amount of US$1,800,000, with an initial payment of US$1,000,000 within 7 days and the balance of US$800,000 on or before 14th July 2026. The settlement amount represents a material discount to the Company's total judgement debt.
