Magnetic Resources NL (ASX:MAU) has announced that the Supreme Court of Western Australia has made orders for the convening of a meeting of Magnetic Shareholders (Scheme Meeting) and approving the despatch of an explanatory statement (Scheme Booklet) providing information about the proposed scheme of arrangement under which Genesis Minerals Limited (ASX: GMD) will acquire 100% of the shares in Magnetic. The Scheme Meeting will take place on Wednesday, 3 June 2026 as a hybrid meeting, both virtually and in-person. All Magnetic Shareholders registered on the Magnetic Register at 4.00pm (AWST) on Monday, 1 June 2026 will be entitled to vote at the Scheme Meeting. The Scheme Booklet is expected to be registered with ASIC on Wednesday, 29 April 2026 and will be made available on Magnetic's website and the ASX platform. The Magnetic Directors have unanimously recommended that Magnetic Shareholders vote in favour of the Scheme, in the absence of a Superior Proposal and subject to the Independent Expert continuing to conclude that the Scheme is in the best interests of Magnetic Shareholders. The key dates for the Scheme process are provided, with the Effective Date expected to be 10 June 2026 and the Implementation Date of 22 June 2026.
