Matrix Composites & Engineering Ltd (ASX: MCE) has announced that the Scheme Booklet, detailing the proposed acquisition of all issued share capital of Matrix by Advanced Innergy Solutions Australia Pty Ltd, a wholly owned subsidiary of Advanced Innergy Holdings Limited (ASX: AIH), has been registered by the Australian Securities and Investments Commission (ASIC). The acquisition is proposed through a members' scheme of arrangement under Part 5.1 of the Corporations Act 2001. The Scheme Booklet includes important information for shareholders to decide whether to vote in favor of the Scheme Resolution, which will be considered at the Scheme Meeting scheduled for 10:30am (AWST) on Monday, 6 July 2026. The Matrix Directors continue to recommend voting in favor of the Scheme, subject to no superior proposal and the Independent Expert's continued conclusion that the Scheme is in the best interests of Matrix Shareholders.
