Genesis Minerals Limited (ASX: GMD) and Vault Minerals Limited (ASX: VAU) have agreed to merge through a Vault scheme of arrangement, creating a new Australian gold major. Vault shareholders will receive 0.7629 new Genesis shares plus A$0.475 in cash for each Vault share, implying total consideration of A$5.2741 per Vault share. The merger is expected to deliver significant benefits, including a pro-forma annual gold production of ~600-700koz, 33.6Moz in pro-forma Mineral Resources, and A$611 million in pro-forma net cash. The Vault Board unanimously recommends the Scheme, subject to shareholder approval and regulatory approvals.
