Genesis Minerals Limited (ASX: GMD) and Vault Minerals Limited (ASX: VAU) have agreed to merge to form a new Australian gold major. The merger, which is unanimously recommended by the Vault Board, will see Vault shareholders receive 0.7629 new Genesis shares plus A$0.475 in cash for each Vault share, representing a 15.7% premium to Vault's closing price. The new entity will have a pro-forma market capitalization of A$12.6 billion, annual gold production of 600-700koz, and mineral resources of 33.6Moz. The merger is expected to deliver substantial synergies, including A$1.5 billion in pre-tax, undiscounted synergies over ten years, and additional operational flexibilities. The combined company will have a strong balance sheet with A$611 million in net cash and A$1.4 billion in liquidity.
