Experience Co Limited (ASX: EXP) has signed a non-binding term sheet with Inflite Group Limited, a leading New Zealand aviation-tourism operator, to combine their skydive and aviation businesses. The proposed transaction, under a New Zealand holding company (Merge Co), is expected to create a leading integrated aviation-tourism platform across Australia and New Zealand with an enterprise value of approximately $110 million. Experience Co will receive approximately $65 million in consideration, including upfront cash, a vendor note, and a 32.5% equity interest in Merge Co. The transaction is subject to due diligence, final agreement on transaction structure, financier approvals, and shareholder and regulatory approvals. Experience Co's intended use of net proceeds will be advised in due course.
Combined enterprise value of approximately $110 million, expected to be completed by end of FY26.
