4DS Memory Limited (ASX: 4DS) has entered into a binding agreement to acquire Jenesys Pty Ltd, a software company specializing in Edge-AI and autonomous systems, for up to $5 million. The acquisition aims to combine 4DS's PCMO-based resistive memory (ReRAM) technology with Jenesys's Edge-AI software to create a comprehensive hardware-software platform for computing-in-memory (CIM) and neuromorphic computing applications. The transaction will be funded through a non-renounceable rights issue and a placement to professional and sophisticated investors. As part of the deal, Jenesys's Managing Director and CEO, Jaspal Sarai, will join 4DS's board upon completion. The acquisition is expected to be completed in October 2026, subject to certain conditions, including shareholder approval and regulatory consents.
4DS plans to raise up to $5M through a rights issue and placement to fund the acquisition.
