Takeover - automatic extension of offer period

Crimson Consulting Australia Pty Ltd, a subsidiary of Crimson Consulting Limited, has extended its off-market takeover offer for all shares in Kip McGrath Education Centres Limited. The offer period has been extended to 7:00pm (Melbourne time) on 27 October 2026 due to Crimson Australia's voting power increasing to more than 50% within the last 7 days of the original offer period. The original offer was scheduled to close on 19 October 2026. Kip McGrath Education Centres Limited's directors have withdrawn their previous recommendation and now unanimously recommend that Kip McGrath shareholders accept the Takeover Offer without delay, in the absence of a superior proposal.
