Board and Committee Changes

• Retirement of Mr Paul Gavazzi from the Board
• Appointment of Ms Debra Counsell as Non-Executive Director
• Succession in Audit & Risk and Remuneration & Nominations Committee Chairs

GenusPlus Group Ltd (ASX: GNP) announced changes in its Board composition as part of its strategy for Board renewal and succession planning. Mr Paul Gavazzi, a Non-Executive Director, will retire from the Board following the 2026 Annual General Meeting (AGM) to pursue personal interests. Ms Debra Counsell will join the Board as a Non-Executive Director effective November 21, 2026. She brings extensive experience from various sectors, including energy and infrastructure. Following the AGM, Mr José Martins will succeed Mr Gavazzi as Chair of the Audit & Risk Committee, while Mr Tony Narvaez will take over as Chair of the Remuneration & Nominations Committee. Ms Counsell will join both committees.
