Chairperson's Addresses and Proxy Results

• APM received valid proxy votes for the Item 7 Resolution and Scheme Resolution
• Chairperson will vote all undirected proxies in favour of the resolutions
• Proxy results include shares held by APM's Founder and Executive Chair

APM Human Services International Limited (ASX: APM) provided the addresses to be delivered by the Lead Independent Director at the General Meeting and Scheme Meeting, as well as the presentation slides for both meetings. The company also disclosed the valid proxy votes received for the Item 7 Resolution to be considered at the General Meeting and the Scheme Resolution to be considered at the Scheme Meeting. The Chairperson of each meeting will vote all 'Open Usable' (i.e., undirected) proxies in favour of the resolutions. The proxy results include 318,580,868 shares held by APM's Founder and Executive Chair, Ms Megan Wynne and associates. If the votes of Ms. Wynne and her associates were disregarded, the proxy results would still show a significant majority in favour of the resolutions.
