NOTICE OF SECOND COURT HEARING

• PSC shareholders to approve scheme of arrangement at meeting on 26 September 2024
• Second Court Hearing scheduled for 1 October 2024 for court approval of scheme
• Shareholders have right to appear and be heard at Second Court Hearing

PSC Insurance Group Limited (ASX:PSI) has provided an update on the proposed acquisition of the company by Rosedale Bidco Pty Ltd, a member of The Ardonagh Group, by way of a scheme of arrangement (Scheme). Provided that PSC shareholders approve the Scheme by the requisite majorities at the scheme meetings to be held on 26 September 2024, on Tuesday, 1 October 2024 at 2:15pm at 305 William Street, Melbourne VIC 3000, the Federal Court of Australia (Victoria Registry) will hear an application by PSC seeking the approval of the Scheme (Second Court Hearing). PSC shareholders have the right to appear and be heard at the Second Court Hearing and may oppose the approval of the Scheme at the Second Court Hearing. If a shareholder wishes to oppose the approval of the Scheme by the Court at the Second Court Hearing, they must file and serve on PSC a notice of appearance, in the prescribed form, together with any affidavit on which they wish to rely at the hearing. The notice of appearance and affidavit must be served on PSC at its address for service at least 1 day before the date fixed for the hearing of the application.
