Xref Limited (ASX:XF1) has announced that it has registered the Scheme Booklet with the Australian Securities and Investments Commission (ASIC). The Scheme Booklet contains important information for Xref Shareholders about the proposed acquisition of 100% of Xref's shares by SEEK International Investments Pty Ltd, a wholly owned subsidiary of SEEK Limited, by way of a Court-approved scheme of arrangement. The cash consideration for the Scheme is $0.218 per Xref share. The Scheme Booklet includes a copy of the Independent Expert's Report prepared by BDO Corporate Finance Australia Pty Ltd. The Independent Expert has concluded that the Scheme is fair and reasonable and in the best interests of Xref Shareholders in the absence of a Superior Proposal. The Xref Directors unanimously recommend that Xref Shareholders vote in favour of the Scheme, in the absence of a Superior Proposal and subject to the Independent Expert continuing to conclude that the Scheme is in the best interests of Xref Shareholders. The Scheme Meeting will be held on Monday, 3 February 2025.
