Full Summary

Silk Logistics Holdings Limited (ASX:SLH) has announced that it will approach the Supreme Court of New South Wales to seek orders in connection with postponing the Scheme Meeting and the Second Court Date for the proposed acquisition of Silk Logistics by DP World Australia Limited. This decision comes after the ACCC released a Statement of Issues regarding the proposed transaction, and Silk's expectation that it will not receive FIRB approval before the currently scheduled Scheme Meeting date of 28 March 2025. The revised indicative timeline includes postponing the Scheme Meeting to 20 June 2025, with the Second Court Date scheduled for 24 June 2025. Silk and DP World Australia remain committed to the transaction and will continue to work together to progress FIRB approval and other regulatory steps required for implementation of the Scheme. The Silk Directors continue to unanimously recommend that Silk Shareholders vote in favour of the Scheme Resolution, in the absence of a Superior Proposal and subject to the Independent Expert continuing to conclude that the Scheme is in the best interests of Silk Shareholders.
