Full Summary

Acrow Limited (ASX: ACF) is pleased to announce that the Australian Competition and Consumer Commission (ACCC) has granted Phase 1 clearance for Acrow's proposed acquisition of AusGroup Industrial Services Pty Ltd (AGIS). This clearance satisfies a key regulatory condition precedent to the completion of the transaction. The ACCC's approval follows its review under Australia's merger control regime and confirms that the ACCC does not propose to undertake a Phase 2 review of the transaction. The Company understands that the ACCC was satisfied that the proposed acquisition is not likely to substantially lessen competition in any relevant market. We now enter a 14-day period whereby a notifying party may apply for a review. Completion is anticipated to occur around 31 August 2026. Commenting on the announcement, CEO Steven Boland said: 'As previously indicated, the acquisition of AGIS will enhance Acrow's Industrial Services platform, strengthen its presence in the key North Queensland resources and infrastructure markets and broaden the Group's service offering to customers across Australia. We look forward to welcoming AGIS' employees, customers and stakeholders following completion of the transaction. In addition to the Prestons Superdeck business that was acquired at the start of July and has made a strong start as an Acrow asset, AGIS will be another highly successful acquisition for our Company. This comes at a time when we expect to see significant growth across all of our key performance indicators for our business. I look forward to providing more detail on our expectations for FY27, when we release our FY26 results on 24 August 2026.'
